1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Axis Spatial website and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Services. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Services Description

Axis Spatial provides geospatial intelligence, risk assessment, training, and consulting services. Our services include but are not limited to:

• Risk assessment and natural catastrophe modeling
• Damage assessment and rapid response services
• Environmental monitoring and ESG reporting
• Corporate training in GIS and geospatial analysis
• Custom geospatial intelligence solutions
• Consulting and technical advisory services

Specific services are subject to separate agreements, statements of work, or service contracts that supplement these Terms.

3. User Obligations

When using our Services, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Use the Services only for lawful purposes and in accordance with these Terms
• Not interfere with or disrupt the Services or servers
• Not attempt to gain unauthorized access to any portion of the Services
• Respect intellectual property rights of Axis Spatial and third parties

4. Intellectual Property Rights

4.1 Our Content

The Services and all materials therein, including but not limited to text, graphics, logos, images, software, methodologies, and documentation, are owned by Axis Spatial and are protected by copyright, trademark, and other intellectual property laws.

4.2 Client Deliverables

Upon full payment, clients receive a license to use project deliverables for their internal business purposes. Unless otherwise agreed in writing, we retain ownership of methodologies, tools, and frameworks used in service delivery.

4.3 Training Materials

Training participants receive a personal, non-transferable license to use course materials for their own learning and professional development. Materials may not be reproduced or distributed without written permission.

5. Payment Terms

5.1 Fees and Billing

Service fees are specified in individual quotes, proposals, or service agreements. Unless otherwise stated, payment terms are:

• 50% deposit required to initiate project work
• Remaining balance due upon project completion
• Payment due within 30 days of invoice date
• Training fees due in full prior to course start date

5.2 Late Payments

Late payments may incur interest charges at a rate of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower.

5.3 Refund Policy

Deposits are non-refundable once work has commenced. Training registrations may be transferred to another participant or rescheduled with 14 days advance notice. Cancellations within 14 days of course start are non-refundable.

6. Disclaimers and Limitations of Liability

6.1 Service Disclaimer

Our Services are provided "as is" without warranties of any kind, either express or implied. While we strive for accuracy, we do not warrant that our analyses, assessments, or recommendations will be error-free or achieve specific outcomes.

6.2 Professional Advice

Our Services provide technical analysis and intelligence. They are not a substitute for professional legal, financial, or engineering advice. Clients should consult appropriate professionals for specific guidance on their situations.

6.3 Limitation of Liability

To the maximum extent permitted by law, Axis Spatial shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability to you for any claims arising from or related to the Services shall not exceed the amount paid by you for the specific services giving rise to the claim.

6.4 Data Sources

Our analyses rely on satellite imagery, geospatial data, and third-party datasets. We do not warrant the accuracy, completeness, or timeliness of such data sources. Clients acknowledge that uncertainties are inherent in remote sensing and geospatial analysis.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This obligation survives termination of the service relationship.

We may use project work as case studies for marketing purposes, provided that all client-identifying information and sensitive data are removed or anonymized, unless explicit written permission is obtained.

8. Indemnification

You agree to indemnify, defend, and hold harmless Axis Spatial and its employees, contractors, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of another party
• Any decisions or actions taken based on our Services

9. Termination

Either party may terminate a service engagement with written notice as specified in the applicable service agreement. We reserve the right to suspend or terminate your access to our Services immediately, without prior notice, for any breach of these Terms.

Upon termination, you must cease all use of our Services and materials. Provisions that by their nature should survive termination (including confidentiality, intellectual property, disclaimers, and limitations of liability) will survive.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or satellite data availability issues.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our Services shall first be addressed through good-faith negotiation. If a resolution cannot be reached within 30 days, disputes shall be resolved through binding arbitration in Berlin, Germany, or through the courts of competent jurisdiction in Berlin.

12. Entire Agreement

These Terms, together with any service agreements, statements of work, and our Privacy Policy, constitute the entire agreement between you and Axis Spatial regarding the Services and supersede all prior agreements and understandings.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of the Services after any changes indicates your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Services.
